GOVERNING BOARD

The Governing Board is the executive organ of the Organization. It is composed of :

  • a President who is the representative of the Supreme Audit Institution of the country in which the last ordinary session of the General Assembly was held;
  • a first Vice-President who is the representative of the Supreme Audit Institution of the country in which the next ordinary session of the General Assembly will be held;
  • a second Vice-President who is the representative of the Supreme Audit Institution of the country in which the penultimate ordinary session of the General Assembly was held;
  •  the head of the General Secretariat;
  •  two representatives from each subregional working group recognized by the Governing Board to be appointed for a renewable three-year term;
  •  the heads of the Supreme Audit Institutions of African States members of the INTOSAI Governing Board;
  •  the head of the Supreme Audit Institution of a country where an important work of publication or training is carried out for the benefit of AFROSAI. This member may be appointed by the Governing Board for a period of three years renewable;
  • the former Presidents of AFROSAI, as Honorary President of AFROSAI. They lose this quality upon termination of their duties as Head of their SAI. They take part in the work of the Governing Board and the General Assembly in an advisory capacity.

The quorum of the Governing Board is seven (07) members. The decisions of the Governing Board are taken by simple majority of the members and participants present. In case of a tie, the President of the Board has the casting vote. The Governing Board is responsible, in-between General Assemblies and taking into account the directives of the latter:

  • to ensure that the statutes are respected and necessary measures are taken to achieve the objectives of the Organization;
  • to take, during the period between the General Assemblies, the necessary measures to achieve the objectives of AFROSAI and in particular to accomplish the tasks entrusted to it by the General Assembly;
  •  verify that the Supreme Audit Institutions wishing to be part of the Organization have the necessary qualifications;
  • to recommend to the General Assembly the recognition of the subregional working groups;
  •  to adopt the annual budgets of the Organization;
  •  to adopt the annual financial statements, the report of the External Auditors, as well as the report (s) of the Technical Committees;
  • submit to each ordinary session of the General Assembly a progress report on the activities of AFROSAI, the report (s) of the External Auditors and the report (s) of the Technical Committees;
  • create subcommittees and assign them specific tasks.

No member may hold dual office in the Governing Board. On the invitation of its President or at the request of at least half of its members, the Governing Board meets in ordinary session as required, once a year atleast. It may meet in extraordinary session in case of imperative necessity on the invitation of its President. It is the duty of the Governing Board to decide on the venue and date of the next session on the proposal of its President.
